OUTSIDE GENERAL COUNSEL
I represent businesses of all sizes and individuals in a broad range of legal matters, concentrating primarily on business events and strategy and commercial transactions, and early dispute resolution, working as needed with specialty co-counsel on disputes, trademark, patent, and more intensive employment issues. For many businesses, I act as outside counsel, whether more closely resembling general counsel or working as an additional member of your legal departments to manage work flow. For private equity affiliated portfolio companies, I work with individual portcos and the overall PE legal team to implement universal terms and strategy. I draft, negotiate, and have advised on complex manufacturing agreements (including CMOs) and supply chain issues, Master Service Agreements, transportation/warehousing logistics, software development and SaaS agreements, marketing agreements (including social media campaigns), NDAs, and an innumerable slew of various vendor agreements.

EARLY STAGE BUSINESS
I help newer and start-up business with formation and corporate structuring (including drafting operating and shareholder agreements), advising on preferred contract approach, creating a bespoke forms library (whether services, or product manufacturing and sales), and advising employment/contractor issues.

CREATIVE SERVICES
For freelancers, artists, composers, designers, filmmakers, producers, photographers, writers, performers, social media influencers, and other content creators, I help clarify and structure intellectual property rights, limit restrictions, and help navigate collaborative relationships.

FREELANCERS AND EMPLOYEES
I regularly advise on and negotiate contractor agreements (including through loan-out companies), along with employment and severance agreements for individuals at the start or end of their positions.

I am also available for consulting on movies, television, and other media on a spectrum of current and other legal issues.
